THIRD-PARTY SERVICES STATEMENT

This Third-Party Services Statement explains how CenterPoint Automotive Technology LLC (“CenterPoint,” “Company,” “we,” “us,” or “our”) may use, interact with, link to, integrate with, or rely upon third-party products, platforms, systems, services, content, data sources, and technologies in connection with the CenterPoint AutoTech website, software platform, applications, account areas, and related services (collectively, the “Services”).

This Statement should be read together with the CenterPoint AutoTech Terms of Service, Privacy Policy, Cookie Policy, and Software Subscription & License Agreement.

  1. PURPOSE OF THIS STATEMENT

CenterPoint may use third-party technologies and service providers to support the operation, delivery, security, functionality, administration, and improvement of the Services.

Third-party services may support functions including:

a. website hosting;

b. software hosting;

c. cloud infrastructure;

d. account authentication;

e. email delivery;

f. payment processing;

g. data storage;

h. file processing;

i. document processing;

j. analytics;

k. security;

l. communications;

m. external information access;

n. OEM information navigation;

o. diagnostic data workflows; and

p. other business or technical functions.

This Statement is intended to explain the general boundaries between CenterPoint-controlled Services and independent third-party services.

  1. THIRD-PARTY SERVICES DEFINED

For purposes of this Statement, “Third-Party Services” means products, services, systems, platforms, websites, applications, content, tools, data sources, technologies, integrations, or providers that are not owned and fully controlled by CenterPoint.

Third-Party Services may include:

a. website platform providers;

b. cloud hosting providers;

c. software infrastructure providers;

d. authentication providers;

e. payment processors;

f. email service providers;

g. analytics providers;

h. security providers;

i. file-processing services;

j. document-processing services;

k. OEM websites and portals;

l. diagnostic tool manufacturers;

m. scan-tool systems;

n. external repair information systems;

o. embedded content providers;

p. linked websites; and

q. other independent service providers.

  1. CENTERPOINT’S USE OF THIRD-PARTY SERVICES

CenterPoint may select and use Third-Party Services when reasonably necessary or useful to operate the Services.

The specific providers, technologies, and integrations used may change over time based on:

a. business needs;

b. Software development;

c. security requirements;

d. performance requirements;

e. availability;

f. technical compatibility;

g. pricing;

h. legal requirements;

i. provider changes; and

j. other operational considerations.

CenterPoint does not guarantee that any specific Third-Party Service will remain continuously integrated with or available through the Services.

  1. WEBSITE PLATFORM AND HOSTING SERVICES

The CenterPoint public website may be created, hosted, operated, or supported through third-party website platform and hosting technologies.

Such providers may support:

a. page delivery;

b. content hosting;

c. forms;

d. navigation;

e. security;

f. performance;

g. responsive design;

h. analytics;

i. cookie management; and

j. other website functions.

Third-party website providers may process technical or usage information according to their own terms, privacy notices, and service configurations.

  1. CLOUD AND SOFTWARE INFRASTRUCTURE

The CenterPoint AutoTech Software may rely on third-party cloud, infrastructure, database, storage, development, or application service providers.

These providers may support:

a. application hosting;

b. database operations;

c. data storage;

d. file storage;

e. account functionality;

f. system availability;

g. backups;

h. processing;

i. security;

j. logging; and

k. other technical functions.

Service interruptions, maintenance, outages, changes, or limitations affecting third-party infrastructure may affect the availability or performance of the CenterPoint Services.

  1. ACCOUNT AUTHENTICATION SERVICES

CenterPoint may use third-party authentication or identity technologies to support:

a. account creation;

b. user login;

c. session management;

d. password-related functions;

e. identity verification;

f. access controls;

g. Admin access;

h. Technician User access; and

i. account security.

Authentication services may be subject to the applicable provider’s own terms and privacy practices.

Users remain responsible for protecting account credentials and following applicable account-security requirements.

  1. PAYMENT PROCESSING SERVICES

CenterPoint may use independent third-party payment processors to support subscription payments and related transactions.

Payment processors may handle information such as:

a. payment card information;

b. billing information;

c. transaction information;

d. payment authorization;

e. fraud-prevention information;

f. recurring payment information; and

g. other payment-related data.

CenterPoint may not directly receive or store complete payment card information when transactions are processed by an independent payment provider.

Payment processing may be governed by the payment provider’s own terms, privacy notices, security practices, and processing rules.

Subscription pricing, billing, renewals, cancellation, non-proration, payment failures, and applicable grace periods are governed by the CenterPoint Terms of Service.

  1. EMAIL DELIVERY SERVICES

CenterPoint may use third-party email or communications providers to support:

a. account invitations;

b. Technician User invitations;

c. account notifications;

d. report delivery;

e. customer-requested emails;

f. subscription communications;

g. billing communications;

h. password or security communications;

i. support communications; and

j. other authorized messages.

Email delivery depends in part on systems outside CenterPoint’s control.

CenterPoint does not guarantee that every email will:

a. be delivered immediately;

b. avoid spam or junk filtering;

c. be accepted by the recipient’s mail server;

d. remain available after delivery; or

e. be free from delays caused by third-party systems.

Users are responsible for verifying intended recipients before sending reports or other information through available email functions.

  1. EXTERNAL SCAN DATA AND DIAGNOSTIC SOURCES

The CenterPoint AutoTech Software may permit users to upload scan reports, PDFs, diagnostic documents, or other files generated by third-party scan tools, diagnostic systems, vehicle systems, OEM systems, or external data sources.

CenterPoint does not control the original creation of third-party scan data.

External scan information may be affected by:

a. the scan tool used;

b. software version;

c. vehicle communication conditions;

d. user operation;

e. scan timing;

f. vehicle state;

g. network availability;

h. source-system configuration;

i. file format; and

j. other external factors.

CenterPoint does not guarantee the completeness, accuracy, consistency, or continued compatibility of data originating from independent third-party systems.

  1. SUPPORTED FILES AND FILE-PROCESSING SERVICES

The Software may use internal or third-party technologies to process supported files.

File processing may include:

a. upload handling;

b. storage;

c. text extraction;

d. structured data extraction;

e. formatting;

f. document analysis;

g. report generation;

h. conversion; and

i. other workflow functions.

Not every file can be guaranteed to process successfully.

Processing may be affected by:

a. file corruption;

b. unsupported formatting;

c. password protection;

d. image quality;

e. scan quality;

f. missing data;

g. inconsistent source layouts;

h. changes made by the originating third party;

i. file size; and

j. other technical limitations.

  1. OEM INFORMATION SOURCES

The Services may provide links, references, navigation assistance, source identifiers, library functions, or other pathways relating to original equipment manufacturer (“OEM”) information.

OEM information may include:

a. repair procedures;

b. position statements;

c. service information;

d. calibration requirements;

e. diagnostic information;

f. vehicle-specific procedures;

g. technical publications;

h. repair restrictions;

i. safety information; and

j. other manufacturer information.

Unless expressly stated otherwise, CenterPoint does not own independent OEM content.

OEM information remains subject to the applicable OEM’s rights, terms, access requirements, subscriptions, updates, and restrictions.

  1. OEM LIBRARY BOUNDARIES

The CenterPoint AutoTech Software may include an OEM Library or similar navigation feature.

Such a feature may assist Authorized Users in locating, organizing, referencing, or navigating toward relevant information sources.

The OEM Library does not guarantee that:

a. every applicable OEM document is included;

b. every source remains available;

c. every external link remains active;

d. every document is current;

e. every repair requirement has been identified; or

f. a user is relieved from independently confirming current authoritative repair information.

Authorized Users remain responsible for reviewing current OEM requirements applicable to the actual vehicle and repair.

  1. THIRD-PARTY LINKS

The Services may contain links to third-party websites, portals, documents, or resources.

A link does not necessarily mean that CenterPoint:

a. owns the linked content;

b. controls the linked content;

c. endorses every statement on the linked destination;

d. guarantees the destination’s security;

e. guarantees continued availability; or

f. accepts responsibility for the third party’s independent practices.

Users access third-party destinations subject to the applicable provider’s terms, policies, and practices.

  1. THIRD-PARTY CONTENT

The Services may display, reference, process, link to, or interact with content originating from third parties.

Third-party content may include:

a. OEM information;

b. scan reports;

c. diagnostic information;

d. uploaded PDFs;

e. external documents;

f. linked resources;

g. provider-generated information; and

h. other independently created materials.

CenterPoint does not claim ownership of third-party content merely because the content is referenced, linked, uploaded, processed, or displayed through the Services.

  1. USER RESPONSIBILITY FOR THIRD-PARTY CONTENT

Subscribers and Authorized Users are responsible for ensuring they have appropriate rights, permissions, or lawful authority to upload, process, store, transmit, or use third-party content through the Services.

Users may not knowingly upload or use content in violation of:

a. intellectual property rights;

b. confidentiality obligations;

c. privacy rights;

d. contractual restrictions;

e. access restrictions; or

f. applicable law.

  1. THIRD-PARTY TERMS AND POLICIES

Third-Party Services may be governed by separate:

a. terms of service;

b. license agreements;

c. privacy policies;

d. cookie policies;

e. acceptable-use policies;

f. subscription requirements;

g. access rules; and

h. other provider terms.

Users may be required to comply with applicable third-party terms when interacting with independent services.

CenterPoint does not modify or replace the independent terms of a third-party provider.

  1. THIRD-PARTY AVAILABILITY

CenterPoint does not control the continuous availability of independent Third-Party Services.

Third-Party Services may experience:

a. outages;

b. maintenance;

c. service degradation;

d. API changes;

e. authentication failures;

f. provider policy changes;

g. discontinued features;

h. pricing changes;

i. access restrictions;

j. security incidents; or

k. termination of service.

Such events may affect portions of the CenterPoint Services.

  1. THIRD-PARTY CHANGES

Independent providers may change their systems without CenterPoint’s control.

Changes may include:

a. file formats;

b. APIs;

c. authentication methods;

d. access requirements;

e. pricing;

f. technical specifications;

g. data structures;

h. security requirements;

i. available features; and

j. legal terms.

CenterPoint may modify its Services in response to third-party changes but does not guarantee uninterrupted compatibility.

  1. NO GUARANTEE OF THIRD-PARTY COMPATIBILITY

CenterPoint does not guarantee permanent compatibility with every:

a. scan tool;

b. diagnostic platform;

c. PDF format;

d. browser;

e. device;

f. OEM portal;

g. email system;

h. payment system;

i. external application; or

j. third-party technology.

Compatibility may change over time.

  1. THIRD-PARTY SECURITY

CenterPoint may evaluate service providers based on factors it considers relevant, which may include security, functionality, reliability, and business needs.

However, no third-party system can be guaranteed to be completely secure.

CenterPoint is not responsible for independent security failures occurring entirely within systems outside CenterPoint’s reasonable control, subject to applicable law and the CenterPoint Terms of Service.

  1. THIRD-PARTY PRIVACY PRACTICES

Independent third parties may collect, use, disclose, retain, or process information according to their own privacy practices.

CenterPoint encourages users to review relevant third-party privacy notices when interacting directly with independent providers.

CenterPoint’s own handling of personal information is described in the CenterPoint Privacy Policy.

  1. ANALYTICS AND PERFORMANCE PROVIDERS

CenterPoint may use third-party analytics or performance technologies to understand and improve the Services.

Such providers may process information concerning:

a. website visits;

b. feature usage;

c. device characteristics;

d. browser information;

e. general interaction patterns;

f. technical errors;

g. performance; and

h. other usage information.

Use of cookies and similar technologies is further addressed in the CenterPoint Cookie Policy.

  1. GENERATED REPORTS AND THIRD-PARTY SOURCE DATA

CenterPoint-generated reports may incorporate or rely upon information originating from:

a. uploaded scan files;

b. diagnostic sources;

c. user-entered information;

d. vehicle information;

e. selected damage areas;

f. external documents; and

g. other available data.

The inclusion of third-party source data in a CenterPoint-generated report does not mean CenterPoint independently created or verified every underlying source fact.

Authorized Users remain responsible for reviewing reports and confirming information before reliance or distribution.

  1. SOFTWARE-GENERATED RECOMMENDATIONS

The Software may generate recommended quote operations, workflow suggestions, findings, warnings, or other outputs based partly on third-party source data.

Such outputs may be affected by the quality, completeness, accuracy, and compatibility of the underlying source information.

Software-generated recommendations do not replace:

a. professional judgment;

b. physical inspection;

c. diagnostic testing;

d. current OEM procedures;

e. calibration verification;

f. repair validation; or

g. other required professional processes.

  1. EMAIL RECIPIENT RESPONSIBILITY

Where the Services allow a user to send a report or document by email, the user is responsible for:

a. entering or selecting the intended recipient;

b. confirming the email address;

c. confirming authorization to send the information;

d. reviewing the report before sending; and

e. avoiding unauthorized disclosure.

CenterPoint is not responsible for a user’s selection of an incorrect recipient.

  1. NO ENDORSEMENT

Reference to a third-party company, product, service, OEM, diagnostic tool, platform, or website does not necessarily constitute endorsement, sponsorship, partnership, certification, or affiliation.

Any actual partnership, certification, or formal relationship will exist only where separately established.

  1. THIRD-PARTY TRADEMARKS

Third-party names, logos, trademarks, service marks, product names, and brand identifiers remain the property of their respective owners.

Use of a third-party identifier for reference, compatibility, source identification, navigation, or informational purposes does not transfer ownership to CenterPoint.

  1. CENTERPOINT’S RIGHT TO CHANGE PROVIDERS

CenterPoint may add, replace, modify, or discontinue Third-Party Services or providers at its discretion, subject to applicable law and contractual obligations.

CenterPoint may make such changes to improve:

a. security;

b. performance;

c. functionality;

d. reliability;

e. scalability;

f. cost efficiency;

g. compliance; or

h. other operational needs.

  1. RELATIONSHIP TO THE TERMS OF SERVICE

The CenterPoint Terms of Service govern broader matters concerning Third-Party Services, including applicable disclaimers, service availability, account responsibilities, limitations of liability, suspension, termination, and other commercial terms.

If there is a conflict between this Statement and the Terms of Service concerning general legal responsibility, liability, subscription rights, or service administration, the Terms of Service control.

  1. RELATIONSHIP TO THE SOFTWARE SUBSCRIPTION & LICENSE AGREEMENT

The Software Subscription & License Agreement governs the limited right to access and use the CenterPoint AutoTech Software.

This Statement supplements that agreement by explaining general third-party service boundaries.

Nothing in this Statement grants additional rights to the Software or to third-party content.

  1. RELATIONSHIP TO THE PRIVACY POLICY

The CenterPoint Privacy Policy governs CenterPoint’s broader collection, use, disclosure, retention, and protection of personal information.

Where Third-Party Services process information on CenterPoint’s behalf or independently, applicable privacy practices may depend on the nature of the relationship and the provider involved.

  1. RELATIONSHIP TO THE COOKIE POLICY

The CenterPoint Cookie Policy provides additional information concerning cookies and similar technologies that may be used by CenterPoint or third-party providers.

Users should consult the Cookie Policy for information concerning cookie categories, browser controls, consent choices, and similar technologies.

  1. CHANGES TO THIS STATEMENT

CenterPoint may update this Third-Party Services Statement from time to time to reflect:

a. changes in the Services;

b. changes in providers;

c. changes in integrations;

d. changes in technology;

e. changes in business operations;

f. changes in legal requirements; or

g. other developments.

When this Statement is updated, the “Last Updated” date may be revised.
